Why BOT exists

A company entering a new market may need local execution before it has an established entity, leadership team, workplace, operating processes and workforce engine.

A BOT partner helps establish and initially operate the capability, then transfers agreed responsibilities, assets, processes and people when readiness conditions are met.

02

Phase 1 — Build

Translate the mandate into workstreams covering entity and compliance coordination, workplace, technology, security, leadership, workforce and launch governance.

The critical control is visibility: dependencies, owners, decisions and readiness gates should be explicit.

03

Phase 2 — Operate

The center must move from launch activity into stable delivery, workforce experience, financial control, SLA, risk management and continuous improvement.

Client leaders need access to operating information rather than a black-box status report.

04

Phase 3 — Transfer

Transfer includes much more than changing the name on an employment contract. It can involve knowledge, systems, assets, vendor agreements, data, policies, governance and employee continuity.

A knowledge-vault approach documents decisions, processes, operating artefacts, ownership and exceptions throughout the operate phase.

05

Common failure modes

Transfer criteria are left vague until late in the engagement.

Client leadership is not prepared to assume decision rights.

Knowledge lives in individuals rather than maintained artefacts.

Employee communication and retention are treated as administrative tasks.

Commercial incentives discourage a clean handover.

06

BOT readiness checklist

Define transfer scope and decision rights in the contract.

Agree readiness gates, documentation standards and data access.

Establish client participation during the operate phase.

Plan employee, asset, vendor and technology transition.

Include post-transfer stabilisation and issue ownership.

Apply the framework to your mandate.

Discuss the capability, location, operating model, workforce or evidence you need to validate.
